Waste Water Management

Technical, Environmental and Social Advisory

When investing in projects and assets, owners, operators, investors, insurers and developers need to understand and mitigate a variety of technical, legal and socio-environmental risks before committing to lending or investing in an undertaking.

Risks which might compromise a project’s profitability in the short, medium and long term usually originate during the initial stages of project development and technical feasibility and assessment until financial close. As such, independent technical advisors are crucial in evaluating the technical feasibility of the project during a Technical Due Diligence review. This process entails identifying both the probability of occurrence of risks as well as their potential impact on the project.

Conducting environmental and social (E&S) due diligence on transactions is a critical component of a financial institution’s ESMS and its outcome should be factored in to the decision-making process for proceeding with a transaction.

The purpose of the environmental and social due diligence is to review any potential environmental and social risks associated with the business activities of a potential client/investee (not non-commercial/individual borrower) ensure that the transaction does not carry environmental and social risks, which could present a potential liability/risk to the financial institution.

Environmental and social due diligence involves the systematic identification, quantification and assessment/evaluation of environmental and social risks associated with a proposed transaction. This process also helps identifying the mitigation measures that are necessary to reduce any environmental and social risks that are identified.

The environmental and social due diligence can involve a simple desktop review or require a site visit with the use of WW&E’s technical experts, if necessary, to understand potential environmental and social risks associated with business activities and review a client’s/investee’s compliance with the financial institution’s environmental and social requirements.

WW&E team is able to assist you during construction and operation monitoring processes after achieving financial close of your project. Performance monitoring is a key aspect in managing a PPP contract. The principal objective of performance monitoring is to ensure that the Procuring Authority is receiving the service the Project Company has agreed to deliver, and to confirm the risk allocation on an ongoing basis as agreed in the PPP contract.

A key benefit of the PPP model is that significant risk is transferred to the Project Company because it is well-placed to, manage that risk more efficiently. The Project Company is typically responsible for both construction and operation of the project assets, and is best placed to engage and manage its contractors and the involvement of other stakeholders. The priority of the Procuring Authority is therefore to ensure that the performance monitoring mechanisms set out in the PPP contract are properly followed, and that risk as allocated in the contract remains with the Project Company. The resources required from the Procuring Authority should not be underestimated. WW&E has the expertise in supporting all parties in such a process.
